1. Acceptance of Terms

By accessing or using the FillPrescript platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including pharmacies, patients, and any other visitors or users.

2. Description of Service

FillPrescript is a digital platform that connects patients with licensed pharmacies in Nigeria. Our Service enables:

• Patients to submit prescription requests and receive quotes from nearby pharmacies
• Pharmacies to receive prescription requests, provide quotes, and process orders
• Secure digital payment processing for medication purchases
• Communication between patients and pharmacies regarding prescriptions

3. Eligibility

For Pharmacies: You must be a licensed pharmacy registered with the Pharmacists Council of Nigeria (PCN) to use our Service as a pharmacy partner. You agree to provide accurate license information and maintain valid licensure throughout your use of the Service.

For Patients: You must be at least 18 years old or have the consent of a parent or guardian to use our Service. You agree to provide accurate personal and health information as required.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Update your information to keep it current
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others

5. Pharmacy Obligations

Pharmacies using our Service agree to:

• Maintain valid PCN licensure and comply with all applicable pharmaceutical regulations
• Provide accurate pricing and availability information
• Dispense only genuine, properly stored medications
• Verify prescriptions according to Nigerian pharmaceutical laws
• Protect patient privacy and handle personal health information appropriately
• Respond to prescription requests in a timely manner

6. Patient Obligations

Patients using our Service agree to:

• Provide valid prescriptions from licensed healthcare providers
• Provide accurate personal and health information
• Not misuse the platform for obtaining controlled substances illegally
• Complete payment for accepted orders
• Collect or receive medications in a timely manner

7. Payments and Fees

FillPrescript facilitates payments between patients and pharmacies. By using our payment services, you agree to:

• Pay all applicable fees and charges
• Provide accurate payment information
• Authorize us to process payments on your behalf

Pharmacy Fee Structure

Listing on FillPrescript is free with no setup costs or monthly subscription fees. The following fees apply to fulfilled orders and are deducted before settlement:

• Commission: 5% of the order value per fulfilled order
• Payment Processing Fee: 1.5% of the order value, capped at ₦2,000 per transaction

Fees are subject to change. We will notify pharmacies of any fee changes with reasonable advance notice.

8. Intellectual Property

The FillPrescript name, logo, and all related content, features, and functionality are owned by FillPrescript and are protected by Nigerian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Limitation of Liability

FillPrescript is a technology platform that connects patients with pharmacies. We do not:

• Provide medical advice or pharmaceutical services
• Guarantee the availability or pricing of any medication
• Take responsibility for the quality of medications dispensed by pharmacies
• Guarantee the accuracy of information provided by pharmacies or patients

To the maximum extent permitted by law, FillPrescript shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. You may also terminate your account at any time by contacting us.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our platform. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria.
